Outsourcing agreement: shorter form: drafting note

This drafting note relates to the Outsourcing agreement: shorter form, a specimen outsourcing agreement which is primarily for use in relation to the outsourcing of less complex, non-IT or non-IT-enabled services. The agreement is designed for use where the services are being outsourced for the first time on a long-term basis and covers the transfer of employees to the supplier, and the transfer of assets where appropriate. The note contains commentary from both the supplier's and the customer's perspective. Where the services that are being outsourced are IT or IT-enabled services or other complex services (including for the most part, most business process or financial services outsourcing arrangements), the Outsourcing agreement: long form should be used.
