Some of the issues which may be relevant for finance lawyers include:
1) Common issues with prospectuses.
2) Application of the convertible bond exemption in article 4.2(g) of the Prospectus Directive.
3) Retail debt cascades.
4) Voluntary summary in a prospectus to comply with summary content requirements.
5) Increases to the size of a previously approved debt issuance programme.
6) Comfort letters for schemes of arrangement.
7) Problems caused by introducing references to the Companies Act 2006.
