Registration Statement: Form S-1

An overview of the disclosure requirements of a registration statement on Form S-1. Form S-1 is the registration statement form most commonly used by domestic companies selling securities to the public for the first time. This Note not only addresses the general requirements for preparing and filing Form S-1 but also includes a detailed analysis of the items required by Part I and Part II of Form S-1. The scaled disclosure accommodations available to emerging growth companies are identified. In addition, this Note discusses incorporation by reference and how to include graphic presentations.
