This Note discusses the corporate governance standards established by the NYSE and Nasdaq, as well as the SEC, where applicable, relating to the nominating and corporate governance committee of the board of directors. This Note describes and compares NYSE and Nasdaq standards regarding independence and the need for a written committee charter. This Note also describes the SEC's corporate governance disclosure requirements relating to the nominating and corporate governance committee and preparing the committee charter.
