The SEC released revised drafts of Volumes I and II of the EDGAR Filer Manual, which governs the submission of information to the SEC by electronic means.
On June 1, 2012, the SEC released revised drafts of Volume I and Volume II of the EDGAR Filer Manual, which governs the submission of information to the SEC by electronic means. If approved, the revised filer manual will implement the following changes, among others:
  • EDGAR will be updated to support submission of confidential draft registration statements for companies that qualify under the JOBS Act or the Division of Corporation Finance's foreign private issuer policy.
  • EDGAR will assign a unique large trader identification number to any person or entity that files a new Form 13H initial filing.
  • EDGAR will require the authenticating document for Form ID submissions to be submitted as a PDF attachment. Filers will no longer be able to submit the document by fax.
The SEC has provided redlined versions of Volume I and Volume II to assist in the identification of draft changes. The SEC also released revised drafts of several EDGAR Form Technical Specifications.
If these drafts are approved, the changes to EDGAR will be implemented on July 2, 2012.
