A Standard Clause that may be used in a purchase or merger agreement when a buyer and seller wish to define their efforts to cooperate to determine antitrust strategy and obtain antitrust approval. This Clause can be used to define the parties' obligations to share the substance of or copies of communications to or from the Federal Trade Commission, the Antitrust Division of the Department of Justice, or any other governmental authority relating to antitrust filings or approval. This Clause also defines the extent to which each party must allow the other to provide input on submissions to, and to participate in meetings or discussions with, any governmental authority relating to any antitrust filing or investigation.
