This Note discusses the SEC rules concerning public announcements by the issuer during the registration process. The Note also reviews gun-jumping issues, exceptions to certain rules for well-known seasoned issuers, and special accommodations available to emerging growth companies. This Note also discusses measures for issuers to implement to avoid violations of the publicity restrictions during the registration process or during an exempt offering.
