Richard D Katcher is a graduate of New York University School of Law, LLB 1966, where he was a member of the Law Review, a member of the Order of the Coif and a John Norton Pomeroy Scholar. He is also a graduate of Lafayette College, BA 1963.

Career to date

Mr Katcher has been a partner in Wachtell, Lipton, Rosen & Katz since 1971. He was chairman of the firm’s management committee from 1997 to 2003. He concentrates on mergers and acquisitions and corporate and securities law and governance. Mr Katcher has participated in numerous mergers and acquisitions and related matters, representing both acquirers and targets, as well as investment bankers. Transactions include Maytag’s sale to Whirlpool, the Sport’s Authority’s sale to Leonard Green, the Engelhard/BASF transaction, the pending acquisition of Service Corporation of Alderwoods, Monsanto's merger with Pharmacia, Warner Lambert's merger with Pfizer, AT&T Corp's acquisitions of MediaOne Group and Tele-Communications, Inc, the break-up of AT&T Corp, including the AT&T Broadband/Comcast transaction, the sale of AT&T to SBC, Lilly Industries, Inc's sale to The Valspar Corporation, Hussmann International, Inc's sale to Ingersoll-Rand Company, American Stores' sale to Albertson's, Browning Ferris' sale to Allied Waste Industries, AT&T Corp's acquisition of McCaw Cellular, AT&T's disposition of Lucent Technologies and NCR Corp, and Monsanto's disposition of Solutia Inc. Cross-border transactions include the sale of Pet Incorporated to Grand Metropolitan and the sale of a greater than majority interest in Genentech Inc to Hoffman-LaRoche. He has also represented clients in joint ventures and recapitalisations and has counselled boards and non-management directors on governance issues and investigations and on other crisis situations.
