This Checklist sets out the circumstances under which a company must file a report under Item 5.02 of Form 8-K in connection with the departure of directors or certain officers, the election of directors, the appointment of certain officers, the adoption or amendment of a material compensation plan or agreement and the grant or amendment of a material award under a material compensation plan or agreement.
