Institutional Shareholder Services (ISS) recently released a 2013 Proxy Season Preview of shareholder proposals relating to environmental and social issues that shareholders will be asked to vote on at annual meetings during the spring proxy season. Key ISS observations include:
  • Political issues have surpassed environmental concerns as the largest category of environmental and social subjects of shareholder resolutions for the spring proxy season for the second year in a row. Within political spending, the request for lobbying disclosure is the top concern.
  • The number of resolutions on board diversity has passed 20 for the first time in almost 20 years.
  • Environmental issues remain a popular subject. Common environmental concerns include climate change and energy efficiency, fracking, water contamination and other toxic substances, and use of genetically modified organisms.
