SEC Adopts Updated EDGAR Filer Manual (Volume II)

The SEC updated Volume II of its EDGAR Filer Manual.
On July 25, 2013, the SEC issued a final rule adopting revisions to Volume II of the EDGAR Filer Manual. Changes include:
- A new submission form type, SD (Specialized Disclosure Report), and its amendment (SD/A) will be added on EDGARLink Online to enable filers to submit notices of disclosure under Section 1502 of the Dodd-Frank Act. This section covers disclosure relating to the use of conflict minerals. Filers can access these submission types from a link on EDGARLink Online. In addition, filers may construct XML submissions by following the EDGARLink Online XML Technical Specification document.
- Item 1.02 of Form SD will require issuers to submit a Conflict Minerals Report as Exhibit 1.02 in ASCII or HTML format.
- Form 13H filers will be able to use the 13H-A form type to satisfy both their annual and fourth-quarter amendment filing requirements.
- For submission form types 13H, 13H-A and 13H-Q:
- the maximum number of characters for Item 1(b) will be increased to 20,000; and
- the number of broker-dealers that can be covered in Item 6 will be increased to 2,000.
