Prospectus Supplement

A document providing information that was omitted from a base prospectus filed with the SEC in connection with a shelf registration. For instance, an issuer may make material changes to the plan of distribution described in its existing shelf registration statement or add or replace selling securityholders by filing a prospectus supplement rather than by filing a post-effective amendment to the registration statement. This approach allows the issuer to avoid delays caused by waiting for the SEC staff to declare the post-effective amendment effective.
