A Standard Document that should be used by a buyer to provide the required notice letter to the seller in a non-negotiated transaction under Rule 801.30 of the Hart-Scott-Rodino (HSR) Act, such as a tender offer or open market purchase. This Standard Document discusses when a buyer is required to provide a notice letter to the seller, as well as the contents of the notice, and contains integrated drafting notes with important explanations and drafting tips. This Standard Document should not be used in negotiated transactions, known as non-Rule 801.30 transactions.
