Most over-the-counter (OTC) derivatives transactions are documented using standardized documentation published by the International Swaps and Derivatives Association, Inc. (ISDA®). This documentation typically includes the ISDA Master Agreement (ISDA Master), a Schedule to the ISDA Master, one or more transaction confirmations, and often an ISDA Credit Support Annex (CSA). Sometimes ISDA definitional booklets and/or protocols are also incorporated by reference.

This Toolkit is designed to assist counsel in navigating and negotiating ISDA derivatives documentation. In addition to resources on the ISDA Master Agreement, this Toolkit also provides ISDA transaction confirmations annotated by Practical Law, information on ISDA protocols (Dodd-Frank protocols, resolution stay protocol, and others), as well as negotiation of ISDA credit support annexes (CSAs), pursuing remedies under the ISDA Master, and more.
