Remuneration committee

A board committee whose delegated responsibilities may include setting remuneration for all executive directors and the chair (including pension rights and any compensation payments), and recommending and monitoring the level and structure of remuneration for senior management. The UK Corporate Governance Code recommends that the remuneration committee consists exclusively of independent non-executive directors. For further details, see Practice note, Remuneration committees.
