Private Placement

A private placement is a type of unregistered securities offering, typically to a relatively small number of investors. It is an offer and sale of securities by an issuer (as opposed to through a broker, dealer or other intermediary) that does not involve a public offering and is conducted under an exemption from the registration requirements of the Securities Act.
