Form 6-K

A form under the Exchange Act requiring foreign private issuers subject to Exchange Act reporting requirements to furnish current reports to the SEC. A foreign private issuer is required to furnish promptly any information which it:
  • Makes or is required to make public under the laws of the jurisdiction of its domicile, incorporation or organization.
  • Files or is required to file with a securities exchange on which its securities trade, and the securities exchange has made that information public.
  • Distributes or is required to distribute to its security holders.
A foreign private issuer is only required to furnish information if it is material to the issuer and its subsidiaries. Current reports on Form 6-K typically cover events including a change in control, significant acquisition or disposition of assets, bankruptcy or receivership, or a change in accountants.
