A boilerplate clause dealing with contracting parties' ability to assign, subcontract or otherwise transfer their rights and obligations under the contract. Guidance is provided on using the clause under the laws of China. Only use this clause if all parties to the transaction are domestic Chinese entities. This clause is adapted from a boilerplate clause designed for use in documents governed by English law, which can be found at Standard Clause, Assignment and other dealings. It has been modified extensively to reflect differences in law and practice between contracts between purely domestic Chinese entities and those which have a foreign element.
