Model articles

Articles of association in the form prescribed for certain types of companies by the Secretary of State pursuant to his power under section 19 of the Companies Act 2006. The following forms of model articles are set out in the Companies (Model Articles) Regulations 2008 (SI 2008/3229):
  • Private companies limited by shares (regulation 2 and Schedule 1) .
  • Private companies limited by guarantee (regulation 3 and Schedule 2).
  • Public companies (regulation 4 and Schedule 3).
From 1 October 2009, the model articles replace Table A as the default set of articles for limited companies incorporated on or after that date. The model articles apply automatically to companies incorporated on or after 1 October 2009 if they choose not to modify or exclude the provisions of the relevant model in their registered articles.
Table A continues to apply to limited companies incorporated before 1 October 2009, unless and until they specifically adopt the model articles.
