This Note explains the mechanics of a PIPE transaction. In particular, this Note outlines the advantages and disadvantages of a PIPE transaction and the differences between a traditional and non-traditional (structured) PIPE transaction. Eligibility requirements, pricing and negotiating points and other legal concerns are also identified.
