A Checklist to use when determining how to calculate the percentage of outstanding voting securities held or to be acquired for Hart-Scott-Rodino (HSR) Act purposes using the formula under Rule 801.12. This Checklist discusses when the Rule 801.12 calculation should be used, including to determine control of an entity, for purposes of the investment-only exemption under Rule 802.9, and to respond to certain items of the HSR form, such as Item 2(d)(ii) and Item 6.
