Public Organic Record

A record (including amendments) available for public inspection that has been filed with or issued by a state or the United States to form or organize an organization (see UCC Section 9-102(a)(68) in the 2010 amendments to UCC Article 9 (2010 Amendments)). It includes the articles of incorporation for a corporation and the equivalent for other types of registered organizations.
UCC Section 9-503(a)(1) in the 2010 Amendments provides that, for a debtor that is a registered organization, its name for purposes of a UCC-1 financing statement is the name shown on the public organic record most recently filed with or issued or enacted by the debtor's jurisdiction of organization which purports to state, amend, or restate the debtor's name. This 2010 Amendment clarifies that other possible names, such as the name of the debtor in the state's business entity database or on a good standing certificate, would not be sufficient.
