An agreement between a software company and a value-added reseller of that company's products, drafted from the supplying company's point of view and on the assumption that Chinese law applies. The Chinese term is 软件增值转售商协议.

This Standard Document has been adapted from the English law Standard document, Software VAR Agreement for use in China transactions and has been drafted to be used in contracts governed by the laws of China. It can also be used in contracts governed by the law of another jurisdiction with only minor tailoring. Before using this Agreement, if the governing law is of a jurisdiction other than China, ensure that the agreement has been reviewed by locally qualified counsel in the relevant jurisdiction.
