A Practice Note discussing the Rule 802.50 and 802.51 foreign exemptions under the Hart-Scott-Rodino (HSR) Act, which apply to acquisitions of non-US assets and to acquisitions of voting securities of non-US entities. This Note discusses how to apply the exemptions, including how to determine sales in or into the US attributable to non-US assets or non-US voting securities to be acquired. This Note also discusses when the acquisition of non-US non-corporate interests is exempt under the Rule 802.4 exemption. This Note provides examples on the application of these exemptions and includes relevant guidance in the Fifth Edition of the Premerger Notification Practice Manual.
