A jurisdiction-neutral memorandum of understanding for use in connection with either:
A two-party 50:50 cross-border joint venture where both parties intend to contribute existing businesses to a newly formed joint venture company.
A two party cross-border joint venture where one party will hold the majority of the shares in the joint venture company and intends to contribute an existing business to the newly formed company, and the other party will be the minority shareholder and intends to either contribute an existing business to the newly formed company or grant a licence of intellectual property rights, and provide related technical support, to the joint venture company.
