In a recommended bid (www.practicallaw.com/0-107-7116), the offeree board's response is normally contained in the offer document (www.practicallaw.com/5-107-6906). In a hostile bid (www.practicallaw.com/8-107-6698), the offeree board will send a separate circular to its shareholders and persons with information rights containing its opinion on the offer. The offeree board circular is required to be sent to shareholders and persons with information rights within 14 days of publication of the offer document (Rule 25.1(a), Takeover Code (www.practicallaw.com/0-107-7362)). Where there is a competing bid or offer (www.practicallaw.com/3-107-5960), further response documents will normally be sent by the target company board to its shareholders and persons with information rights following the publication of the competing bidder's offer document and after any revisions to the offer.
