An overview of the disclosure requirements of the short-form registration statement on Form F-3, which is used by certain foreign private issuers (certain non-US companies). This Note reviews the eligibility requirements for use of Form F-3. In addition, this Note not only addresses the general requirements for preparing and filing Form F-3 but also includes a detailed analysis of the items required by Part I and Part II of Form F-3. This Note also discusses incorporation by reference and how to include graphic presentations.
