Practice experience

Carter Brod, who is qualified as both a U.S. lawyer and an English solicitor, is a partner based in White & Case's Moscow office. Carter's practice is focused on international debt and equity securities offerings, with an emphasis on offerings by emerging markets issuers. Prior to relocating to Moscow in June 2010, Carter was based in White & Case's London office.

Carter's experience includes representation of underwriters and issuers (including corporates, banks and sovereigns) on a range of debt and equity capital markets transactions, including offerings of eurobonds, high yield notes, shares, GDRs, equity-linked instruments and regulatory capital instruments. His experience includes U.S. offerings pursuant to Rule 144A, offerings outside the United States under Regulation S, traditional private placements and U.S. SEC-registered offerings. Carter also advises clients with respect to liability management transactions, including debt tender offers, consent solicitations and exchange offers. Carter has advised on several groundbreaking transactions in the emerging markets, including the first ever international securities offering by a Ukrainian company and the first ever international securities offerings from each of Belarus and Georgia.

Carter's recent work includes:

  • Representation of TNK-BP, an Anglo-Russian oil and gas company, in a US$1 billion eurobond offering;

  • Representation of Gazprombank, a Russian bank, in a US$500 million eurobond offering;

  • Representation of the Republic of Belarus in a US$600 million eurobond offering, the first ever international securities offering from Belarus;

  • Representation of the Republic of Lithuania in a US$2 billion eurobond offering, the largest ever securities offering from the Baltic region;

  • Representation of the underwriters in a £250 million equity offering by SEGRO plc, a U.K. real estate company, conducted in conjunction with the acquisition by SEGRO plc of Brixton plc;

  • Representation of Bank of Georgia, a Georgian bank, in a US$160 million initial public offering of GDRs, the first ever international securities offering from Georgia;

  • Representation of Bank of Georgia, a Georgian bank, in a US$160 million initial public offering of GDRs, the first ever international securities offering from Georgia;

  • Representation of the City of Kiev in a US$250 million offering of loan participation notes;

  • Representation of the joint lead managers in a US$500 million offering of floating rate notes issued by Ukraine;

  • Representation of LBC, a French chemical storage company, in a US$133 million high yield offering;

  • Representation of the joint lead managers in a US$250 million offering of loan participation notes issued to fund a loan to Bank of Moscow, a Russian bank;

  • Representation of the lead manager in a US$100 million offering of loan participation notes to fund a loan to Kyivstar G.S.M., a Ukrainian mobile telecommunications operator, the first ever international securities offering by a Ukrainian company;

  • Representation of the joint global co-ordinators in a US$509 million offering by the Polish government’s oil industry privatisation and holding company of shares and GDRs of PKN ORLEN, a Polish oil refining and gasoline distribution company; and

  • Representation of the underwriters in a US$315 million SEC-registered offering by the Hungarian privatisation and state holding company of shares and ADRs of Matáv, a Hungarian telecommunications company.

Prior to joining White & Case in 1997, Igor worked as chief legal advisor at the Belarusian Chamber of Commerce and Industry and as a private legal practitioner for more than five years. During this period he represented local and international clients and acted as local counsel for several international law firms in the Republic of Belarus.

Carter is ranked as a leading individual in the capital markets field in Chambers UK (2010) and Chambers Global (Russia) (2009). He is also recommended in Legal 500 UK (2009) and IFLR 1000 (2009).

From 1993-1998, Carter served as an active duty officer in the U.S. Navy Judge Advocate General's Corps.
