On November 18, 2011, the New York Stock Exchange amended a listing fee provision of its Listed Company Manual to fix an inadvertent omission relating to fees for debt securities of foreign private issuers.
On November 18, 2011, the New York Stock Exchange (NYSE) proposed amendments to Section 902.08 of its Listed Company Manual (LCM), which sets fee rates for debt securities, to fix an inadvertent omission. As a result of the amendments, debt securities of foreign private issuers listed under LCM Section 103.05 are now subject to the same fee rates as analogous debt securities of domestic issuers listed under LCM Section 102.03.
NYSE LCM Sections 102.03 and 103.05 set listing standards for debt securities of domestic companies and foreign private issuers, respectively. The standards under the two sections are substantially the same, and the NYSE believes that listing support, regulatory and administrative activities related to securities under both standards is equivalent. However, due to an inadvertent omission, certain fee provisions of Section 902.08 applied only to LCM Section 102.03 debt securities. The November 18, 2011 amendments fix this by making Section 902.08's fee rates apply equally to debt under both Sections 102.03 and 103.05.
The amendments are effective on filing, subject to the SEC's ability to temporarily suspend effectiveness under certain circumstances.
