This note contains a brief summary of the nature of computer software and its treatment under UK law, and then discusses in detail the main issues to be considered by suppliers and customers when negotiating and drafting software licences and software maintenance contracts. The focus of this note is on business-to-business transactions and the licensing of on-premises software.
