Prospectus Rules

Until 21 July 2019, when they were replaced by the Prospectus Regulation Rules, the Prospectus Rules formed part of the FCA Handbook.
The Prospectus Rules were introduced to implement the Prospectus Directive in the UK. They set out the requirements for the issue of a prospectus for an offer of transferable securities to the public in the UK or a request for the admission to trading of transferable securities on a regulated market in the UK, as well as exemptions from those requirements. They also set out the form, content and approval requirements for prospectuses.
The Prospectus Rules were deleted on 21 July 2019 by the Prospectus Regulation Rules Instrument 2019 (FCA 2019/80) (see Legal update, FCA Handbook: Prospectus Regulation Rules Instrument 2019).
