Outsourcing agreement: long form: drafting note

This drafting note relates to the specimen outsourcing agreement which is primarily for use in relation to the outsourcing of IT services where the services are being outsourced for the first time on a long-term basis. The agreement covers the transfer of employees to the supplier and the transfer of assets where appropriate. The note contains commentary from both the supplier's and the customer's perspective. Where the services that are being outsourced are less complex, non-IT or non-IT enabled services, the Outsourcing agreement: shorter form may be used.
