Certificate of Limited Partnership

A limited partnership is formed by filing a certificate of limited partnership with the state signed by all general partners. Some states only require that the certificate contains the name of the limited partnership, the name and address of the registered agent and registered office, and the names and addresses of all of the general partners.
Specific filing requirements vary from state to state, so it is important to review the statutes governing business entities in the state where you choose to form a limited partnership.
