Nominating Committee
Also known as the nominating and corporate governance committee, the nominations committee or the nominating/corporate governance committee. An operating committee of the company's board of directors.
A nominating committee of a US public company is composed of independent directors. The duties of a nominating committee are typically outlined in a committee charter, often available on the company's website, and include selecting, or recommending for selection by the full board, director nominees and approving the company's corporate governance policies, procedures and guidelines.
