Private Placement Memorandum

Also known as an offering memorandum, OM, offering circular, OC, and PPM. A document, typically used in an unregistered offering of securities, that provides investors with certain information about:
  • The issuer of the securities.
  • Risks associated with the issuer and the offered securities.
  • The issuer's business.
  • The securities being offered, including any restrictions on subsequent transfers.
Both reporting companies and non-reporting companies may prepare a PPM in connection with an unregistered offering of securities.
