A material adverse change clause (also known as a MAC or material adverse event (MAE) provision) for use in a share purchase agreement (SPA), giving the buyer the right to terminate the SPA prior to completion if the target is materially and adversely affected by certain events occurring between a specified point in time and the intended completion date.
