Note that a joint working party of the Company Law Committees of the City of London Law Society and the Law Society of England and Wales has published a specimen revised set of offer conditions which reflect the changes to the Code as contained in the 13th edition of the Code, and setting out an example of the approach that could be taken to the structure and drafting of certain aspects of conditions to a contractual offer, including the acceptance condition (see Legal update, Takeovers: CLLS/Law Society specimen documents and memorandum on conditions to offers and offer timetable).
