Under Article 3 of the EC Merger Regulation, where two or more previously independent undertakings merge, or, broadly, where one or more undertakings acquire direct or indirect control of the whole or part of one or more other undertakings. This covers mergers, demergers, acquisitions of shares or assets, and structural joint ventures which are full-function joint ventures.
