Form S-3

A short-form registration statement that can be used by a reporting company issuer that meets certain company and transaction eligibility requirements established by the SEC. Form S-3 consists primarily of information about the specific securities offering.
Form S-3 allows incorporation by reference of certain required information about the company from documents filed by the company with the SEC under the Securities Act or the Exchange Act, including future filings. As a result, Form S-3 may be used to set up a shelf registration.
The corresponding short-form registration statement for use by foreign private issuers is Form F-3.
