Proxy Statement

A disclosure document containing information prescribed by the rules and regulations of the SEC that a reporting company must provide to its stockholders in connection with the solicitation of their proxies to vote their shares at the stockholders' meeting as specified in the proxy card. The proxy statement provides information about the upcoming meeting, solicits proxies from each stockholder, and provides certain information about the company, including corporate governance matters.
The principal SEC rules affecting the proxy statement are contained in Schedule 14A (items required in the proxy statement) and Regulation 14A (the proxy solicitation rules) of the Exchange Act:
  • Schedule 14A sets out the information required to be in the proxy statement.
  • Regulation 14A sets out the requirements that apply to any communication by a reporting company that would cause a stockholder to grant, withhold or revoke a proxy.
