This Practice Note provides an overview of the disclosure requirements of a registration statement on Form S-3. Form S-3 is a short-form registration statement that can be used by companies for which the public is likely to have the largest amount of information available. This Note reviews the eligibility requirements for use of Form S-3. In addition, this Note not only addresses the general requirements for preparing and filing Form S-3 but also includes a detailed analysis of the items required by Part I and Part II of Form S-3. This Note also discusses incorporation by reference and how to include graphic presentations.
