The number of members (directors or stockholders in the case of a corporation) of a governing body of an entity who must be present before business can be transacted or a vote can be counted. With respect to stockholders' meetings, this is the minimum number of a company's stockholders present or accounted for at a meeting necessary to conduct the business of the company. With respect to board of directors meetings or committee meetings, this is the minimum number of directors or committee members, as applicable, present or accounted for at a meeting necessary to conduct the business of the board or the committee, as applicable.
