Work Letter
In a leasing context, an agreement between the landlord and the tenant for the performance of the initial build-out of the leased premises.
Generally, a work letter includes:
Designation of the parties' responsibilities for the build-out.
Method and critical time periods for approving material aspects of the build-out, including:
working plans;
general contractor bidding; and
change orders
.
Build-out
allowance
and method for its application.
Party responsible for build-out costs in excess of the build-out allowance.
A work letter is usually negotiated and signed at the same time as the lease agreement. It is typically attached as an exhibit to the lease agreement.
