The SEC updated its EDGAR Filer Manual.
On October 4, 2012, the SEC issued a final rule adopting revisions to Volumes I and II of the EDGAR Filer Manual. Changes include:
  • Emerging growth companies and foreign private issuers can use EDGAR to submit draft registration statements to the SEC for confidential review and to publicly disseminate previously submitted confidential draft registration statements.
  • Filers using FEDWIRE to pay filing fees must use a new US Treasury beneficiary account number and new American Bank Association (ABA) number for payments.
  • Form 8-K submission forms allow issuers to input the business day following the date of submission in the period field, as long as the submission is made between 5:31 p.m. and 10:00 p.m. Eastern Time.
