This Article identifies some of the topics that are most commonly raised in SEC comment letters on executive compensation disclosure in registration statements, Form 10-K reports and proxy statements. It provides excerpts from representative SEC comment letters and offers tips to help avoid the comment as an initial matter or, failing that, respond effectively to the staff’s concerns.
