FINRA updated the form used to file offering documents and other information on private placements under FINRA Rules 5122 and 5123 and issued new FAQs on that form.
On August 19, 2013, FINRA issued a regulatory notice (Notice) explaining the updated form that firms must use to file offering documents and other information on private placements under FINRA Rule 5122 and FINRA Rule 5123. The form, which was updated effective July 1, 2013, includes six new questions that a firm must answer based on information included in the offering document or otherwise known by the firm. A copy of the updated FINRA form is attached to the Notice.
The Notice also includes nine new FAQs about the updated form.
