This webinar looks at key trends in relation to certain resolutions proposed (including the number of FTSE 350 companies that have proposed annual re-election of the board), shareholder requisitions and poll voting, and will also consider the new remuneration disclosure requirements. David will also share his experience of organising AGMs and will address certain practical issues.
The webinar will be of interest to company secretaries, in-house lawyers, private practitioners and other professionals involved in advising on or preparing for an AGM.
About the speakers
David Jackson is Company Secretary at BP plc, and has held that position since July 2003. He is actively involved with the Board and its Committees in the development of corporate governance. Previously he was General Counsel and Company Secretary at PowerGen from 1989 to 2002 were he was responsible for all legal matters relating to the PowerGen Group of Companies and all company secretarial matters relating to the Board its committees and their corporate governance. Prior to that David held a number of legal positions with Matthew Hall, AMEC, Chloride Group, Nestle UK and Barlow Lyde & Gilbert. David is a Director of BP Pensions Trustees Limited. David has an LLB (Hons) from the University of Bristol. David is a Vice Chairman of the GC100 and leads the GC100 Corporate Governance Standing Group.
Alun Eynon-Evans, is a corporate partner in Allen & Overy's London office with a wide range of experience in public and private M&A, joint ventures, restructurings and private equity transactions. He has particular experience in the financial services sector, advising clients on a range of international and cross-border transactions. Alun has considerable expertise assisting corporates and financial institutions on corporate governance and AGM related issues. He plays an active role in the area, leading an annual client seminar on the topic and co-ordinating a number of bespoke sessions and training.
Lucy Ryland joined PLC Corporate in July 2009. She is Head of PLC What's Market and is responsible for maintaining PLC’s corporate governance and AGM materials. Lucy also provides support to the GC100. Prior to joining PLC, Lucy trained at Allen & Overy and qualified into its corporate department in 1999. She worked on a variety of corporate transactions until 2003 when she joined the corporate know-how team as a Senior Professional Support Lawyer. Lucy is currently a non-practising solicitor.
