The SEC's Division of Corporation Finance issued a press release announcing an opportunity for issuers to test file forms in preparation for crowdfunding offerings.
On December 18, 2015, the SEC's Division of Corporation Finance announced that companies may immediately begin test filings of the form to be used when conducting Regulation Crowdfunding offerings.
Companies seeking to conduct a crowdfunding offering using the new rules must file the required disclosures about the offering on a new Form C on EDGAR. Companies can now submit test filings on the new form. The test filings will be accepted until February 29, 2016. During this testing period, filers should identify their Form C filings as "test" filings.
Companies can access the Form C on the SEC's EDGAR filing website if they have a Central Index Key (CIK) and a CIK Confirmation Code (CCC). Companies without EDGAR filing codes can learn how to obtain them from the SEC's EDGAR Filer Management page. The draft technical specifications for the new form are located on the SEC's Information for EDGAR Filers page.
