A Checklist that may be used by counsel preparing customers of one or both of the merging parties to be interviewed by the Federal Trade Commission (FTC) or Department of Justice (DOJ) during an antitrust merger review. This Checklist provides an overview of topics the antitrust agencies may cover in a customer interview conducted during the Hart-Scott-Rodino (HSR) Act waiting period in a reportable transaction, generally to avoid issuance of a Request for Additional Information and Documentary Material (Second Request). It also includes a list of sample questions.
