A survey of sandbagging or "benefit of the bargain" provisions in 191 private acquisition agreements with post-closing indemnification entered into in 2016. The survey sample is divided among agreements with Delaware governing law, New York governing law, and Texas, California, Colorado, and Maryland governing law.
